Briefings

ProPública warns that Portugal's current laws may be insufficient to protect strategic assets like Sines refinery during Galp's proposed Moeve acquisition. The company faces a 430,000-client portfolio sale, potentially losing 80% of Sines assets. While the 2014 decree allows government intervention, ProPública argues it lacks the necessary mechanisms to block non-EU investors and align with EU investment rules.

Key points

• Galp is negotiating a non-binding agreement with Moeve to combine refinery, petrochemical, and fuel business operations across the Iberian Peninsula.
• The proposed deal could result in the sale of 80% of Sines refinery and related assets like the Sines-Aveiras oleoduct to Moeve shareholders.

Context

ProPública, a Portuguese association for rights and citizenship, criticizes the lack of a firm government decision to block the deal or strengthen national control over critical infrastructure. The ministry of Environment and Energy has stated the government is studying legal instruments to ensure Sines remains Portuguese, though the association argues the current framework is too weak for such a threat.

Limitations

Evidence is limited to a single article from October 2026. The article does not provide specific dates for the deal, exact financial figures beyond the 80% asset loss, or confirmed names of the Moeve investors beyond Mubadala and Carlyle. The analysis relies on the association's interpretation of the 2014 decree and EU regulations, which may not be fully implemented or updated.
